If you are selling or buying a business or business assets (“bulk sale” or “bulk transfer”), you may consider using an escrow agent – a neutral third party – to assist you with the bulk transfer.

Am I required to use an escrow company for the purchase or sale of a business?

You are not required to use an escrow company if there is the bulk transfer does not involve a license from California Department of Alcoholic Beverage Control (ABC). However, it is still a good idea to use an escrow agent to hold the funds, publish a notice of the bulk transfer, and coordinate with tax agencies regarding any taxes owed.
